Terms of service

Parties

These terms apply between Data Summit Consulting (proprietor Lim Wei Jie, SSM 202108034567) and the client entity identified in a signed scope letter or statement of work.

Services

We provide programming consulting focused on database performance and query optimisation as described in each written scope. Deliverables are advisory and documentation unless a scope explicitly includes implementation labour on your systems.

Fees and tax

Fees are quoted in Malaysian Ringgit unless otherwise stated. Applicable service tax (SST) will be shown on invoices when we are registered and the supply is taxable. Payment terms are net fourteen days from invoice unless the scope states otherwise.

Client responsibilities

You provide timely access to non-production environments, anonymised samples where possible, and a single point of contact for scheduling. Delays caused by missing access may shift milestones.

Confidentiality

Both parties will keep non-public technical information confidential, except where disclosure is required by law or already public without breach.

Intellectual property

Pre-existing materials remain with their owner. Deliverables created specifically for you are licensed for internal use upon full payment unless the scope states otherwise.

Limitation of liability

To the extent permitted by Malaysian law, our aggregate liability arising from consulting services is limited to the fees paid for the engagement giving rise to the claim. We are not liable for indirect or consequential loss, including lost profits, except where liability cannot be excluded.

Governing law

These terms are governed by the laws of Malaysia. Courts in Kota Kinabalu, Sabah shall have non-exclusive jurisdiction unless the parties agree otherwise in writing.
